Terms of Service

These Terms of Service apply to your access to and use of Tray Stack, including the Tray Stack desktop application, website, account services, billing services, support services, updates, and any related features or services provided by New Horizon Code PTY LTD (we, us, or our).

By downloading, installing, accessing, or using Tray Stack, you agree to these Terms. If you do not agree, you must not use Tray Stack.

Tray Stack is a desktop utility that helps users identify, view, and manage locally running development servers, applications, ports, processes, folders, and related technical information on their own computer.

  1. Who These Terms Apply To

    These Terms apply to all users of Tray Stack, including:

    1. individuals using Tray Stack for personal projects;
    2. developers using Tray Stack for work;
    3. businesses or organisations using Tray Stack internally;
    4. users accessing free, trial, beta, or paid versions; and
    5. anyone using related websites, support, billing, or account services.

    If you use Tray Stack on behalf of a business, employer, client, or organisation, you confirm that you have authority to accept these Terms on their behalf.

  2. What Tray Stack Does

    Tray Stack is designed to scan certain technical information on your local computer to help identify and display locally running development servers and related processes.

    Depending on your device, operating system, permissions, and enabled features, Tray Stack may locally inspect or display:

    1. listening network ports;
    2. localhost or local network URLs;
    3. running processes;
    4. process names and process IDs;
    5. process working directories;
    6. executable paths;
    7. project folder names;
    8. Git repository metadata, where available;
    9. CPU and memory usage;
    10. runtime or start-time information; and
    11. other similar technical information needed to provide the app's features.

    Tray Stack may also allow you to:

    1. open local development URLs;
    2. copy detected URLs;
    3. view process and project information;
    4. open related folders or files;
    5. terminate or stop selected processes;
    6. manage app preferences; and
    7. start Tray Stack automatically on login, if enabled.

    Tray Stack is intended as a developer productivity tool. It is not an antivirus product, malware scanner, endpoint protection tool, compliance tool, monitoring product, forensic tool, or security audit service.

  3. Local Computer Scanning

    By using Tray Stack, you authorise the app to scan and inspect local technical information on your computer as required to provide its features.

    You acknowledge that:

    1. scanning local ports and processes is a core function of Tray Stack;
    2. some operating systems may request additional permissions;
    3. denying permissions may limit or prevent certain features from working;
    4. the app may display sensitive technical information, such as project names, folder paths, repository names, and local URLs; and
    5. you are responsible for ensuring you are allowed to use Tray Stack on the device where it is installed.

    You must not install or use Tray Stack on a computer you do not own, control, or have permission to use.

    If you install Tray Stack on a work, school, client, shared, or managed device, you are responsible for ensuring your use complies with all applicable policies, agreements, and permissions.

  4. Local Data and Privacy

    Tray Stack is designed so that local scanning information is processed on your device for the purpose of displaying and managing detected local development servers and processes.

    Unless we expressly state otherwise, Tray Stack does not intentionally transmit your local process list, project folder paths, Git repository metadata, ports, or scan results to us as part of its ordinary scanning functionality.

    However, Tray Stack or related services may send limited information to us or our service providers for purposes such as:

    1. account creation and login;
    2. licence, subscription, or payment validation;
    3. update checks;
    4. billing and subscription management;
    5. crash reports or diagnostics, where enabled or required;
    6. support requests you submit;
    7. security, fraud prevention, and abuse prevention; and
    8. legal compliance.

    Our handling of personal information is described in our Privacy Policy.

    You should not send us screenshots, logs, project names, paths, source code, secrets, credentials, or confidential information unless you are authorised to do so and the information is necessary for support.

  5. Accounts

    Some features may require an account.

    You are responsible for:

    1. providing accurate account information;
    2. keeping your login details secure;
    3. all activity under your account;
    4. promptly notifying us of unauthorised access; and
    5. ensuring your use complies with these Terms.

    We may suspend or restrict access to your account if we reasonably believe it has been compromised, misused, used fraudulently, or used in breach of these Terms.

  6. Plans, Payments, and Subscriptions

    Tray Stack may be offered as a free product, paid product, trial, subscription, one-time purchase, or beta product.

    Paid plans are subject to the pricing, billing terms, renewal terms, and feature limits shown at the time of purchase.

    If Tray Stack is provided on a subscription basis:

    1. your subscription may renew automatically unless cancelled;
    2. you authorise us or our payment processor to charge your payment method;
    3. you are responsible for keeping payment details current;
    4. unpaid amounts may result in suspension or loss of access; and
    5. cancellation will take effect in accordance with the terms shown at purchase.

    Unless required by law or expressly stated in a refund policy, payments are non-refundable.

    We may change pricing, plan inclusions, or billing terms from time to time. If you have an active subscription, changes will apply from your next renewal unless otherwise stated.

  7. Trials and Beta Access

    We may offer free trials, beta versions, preview features, or early access features.

    These may be limited, incomplete, unstable, or changed at any time.

    We may modify, suspend, withdraw, or end trial or beta access without notice.

    Trial or beta access does not guarantee continued access, future availability, specific pricing, or production support.

  8. Acceptable Use

    You must use Tray Stack lawfully and responsibly.

    You must not use Tray Stack to:

    1. access, scan, inspect, monitor, or interfere with a computer without permission;
    2. breach any law, regulation, contract, workplace policy, or third-party right;
    3. collect information from another person's device without authority;
    4. assist with unauthorised surveillance, hacking, malware, exploitation, or intrusion;
    5. interfere with, disrupt, damage, or overload any system;
    6. bypass security, access controls, or usage restrictions;
    7. misuse process, port, or project information;
    8. share, resell, or misuse accounts, subscriptions, or access credentials;
    9. attempt to bypass payment, subscription, or access controls;
    10. copy or reproduce Tray Stack's interface, workflows, or functionality to create a competing product; or
    11. use Tray Stack in any way that could harm us, other users, or third parties.
  9. Process Termination and User Responsibility

    Tray Stack may allow you to terminate, stop, kill, or interact with selected local processes.

    You are solely responsible for deciding whether to stop a process.

    Stopping a process may cause:

    1. loss of unsaved work;
    2. interrupted development servers;
    3. failed scripts, builds, jobs, or background tasks;
    4. disruption to local databases, containers, terminals, or emulators;
    5. loss of logs or debugging information;
    6. corrupted temporary state; or
    7. other unexpected consequences.

    Tray Stack may display process information to assist you, but we do not guarantee that a process is correctly identified, safe to stop, or unrelated to other applications.

    To the maximum extent permitted by law, we are not responsible for any loss, damage, data loss, interruption, or other consequence caused by actions you take through Tray Stack.

  10. Accuracy and Availability

    Tray Stack attempts to detect local development servers and related processes, but detection may not always be accurate, complete, or current.

    Tray Stack may:

    1. fail to detect a running server or process;
    2. incorrectly identify a process;
    3. show duplicate or outdated information;
    4. display incorrect port, folder, URL, or Git information;
    5. be limited by operating system permissions;
    6. be affected by third-party tools or system configuration; or
    7. stop working after operating system, dependency, or runtime updates.

    You should independently verify important information before relying on it.

    We do not guarantee that Tray Stack will always be available, uninterrupted, error-free, secure, or compatible with every device, operating system, framework, runtime, terminal, shell, or development environment.

  11. Updates and Changes

    We may provide updates, patches, fixes, improvements, or new versions from time to time.

    We may also modify, remove, suspend, or discontinue features at any time, including:

    1. scanning methods;
    2. supported operating systems;
    3. interface features;
    4. integrations;
    5. billing or account features;
    6. diagnostics;
    7. support channels; or
    8. online services.

    Some updates may be required for security, compatibility, billing, or continued access.

    We are not required to support outdated versions of Tray Stack.

  12. Third-Party Services and Components

    Tray Stack may include, depend on, or interact with third-party services or components, including open-source packages, operating system APIs, payment processors, hosting providers, analytics services, update services, and desktop runtimes.

    Third-party services and components are owned by their respective providers and may be subject to separate terms, licences, and privacy policies.

    We are not responsible for third-party services, outages, vulnerabilities, changes, terms, or actions, except where required by law.

  13. Intellectual Property

    Tray Stack, including its name, branding, design, interface, code, workflows, features, documentation, and related materials, is owned by us or our licensors.

    You must not copy, modify, reproduce, sell, rent, lease, sublicense, distribute, reverse engineer, decompile, disassemble, or create derivative works from Tray Stack except as permitted by law or with our written permission.

    You must not remove, alter, or obscure any copyright, trade mark, licence, or proprietary notices.

  14. Feedback

    If you provide feedback, suggestions, ideas, bug reports, feature requests, or comments about Tray Stack, you grant us permission to use that feedback without restriction or compensation.

    We may use feedback to improve, modify, market, or develop Tray Stack or other products.

    You confirm that any feedback you provide does not contain confidential information that you are not authorised to share.

  15. Support

    We may provide support through the channels listed on our website, in the app, or in your account.

    Support availability may depend on your plan.

    Unless expressly stated otherwise, we do not guarantee:

    1. specific response times;
    2. issue resolution;
    3. compatibility fixes;
    4. support for unsupported systems;
    5. custom development;
    6. recovery of lost data; or
    7. investigation of third-party software or environments.

    We may refuse support if your use breaches these Terms, involves an unsupported setup, appears abusive, or relates to unauthorised use.

  16. Suspension or Termination

    We may suspend, restrict, or terminate your access to Tray Stack or related services if:

    1. you breach these Terms;
    2. payment fails or is reversed;
    3. your subscription expires or is cancelled;
    4. we detect fraud, abuse, misuse, or suspicious activity;
    5. your account appears compromised;
    6. we are required to do so by law;
    7. your use creates legal, security, operational, or reputational risk; or
    8. we discontinue Tray Stack or any related service.

    You may stop using Tray Stack at any time by uninstalling the app and, where applicable, cancelling your subscription.

    Sections that by their nature should continue after termination will survive, including sections relating to intellectual property, restrictions, privacy, disclaimers, liability, indemnity, and governing law.

  17. Disclaimer

    To the maximum extent permitted by law, Tray Stackis provided on an “as is” and “as available” basis.

    We do not guarantee that:

    1. Tray Stack will be uninterrupted, secure, or error-free;
    2. Tray Stack will detect every relevant process, port, server, or project;
    3. detection results will be accurate or complete;
    4. process termination will be safe or consequence-free;
    5. Tray Stack will meet your specific requirements;
    6. Tray Stack will be compatible with every device or environment;
    7. defects will be corrected; or
    8. Tray Stack will be free from vulnerabilities or bugs.

    To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and quiet enjoyment.

    Nothing in these Terms excludes any rights that cannot be excluded under applicable law.

  18. Limitation of Liability

    To the maximum extent permitted by law, we are not liable for any:

    1. indirect, incidental, special, consequential, exemplary, or punitive loss;
    2. loss of profits, revenue, goodwill, opportunity, or business;
    3. loss, corruption, or interruption of data;
    4. loss of source code, project files, logs, debugging information, or development state;
    5. business interruption or downtime;
    6. consequences of terminating or interacting with a process;
    7. inaccurate or incomplete detection results;
    8. security incidents caused by your device, configuration, third-party tools, or misuse;
    9. third-party service failures; or
    10. failure to maintain backups or verify information before acting.

    To the maximum extent permitted by law, our total aggregate liability arising out of or relating to Tray Stack or these Terms is limited to the greater of:

    1. the amount you paid us for Tray Stack in the 12 months before the claim; or
    2. AUD $100.

    This limitation applies regardless of the legal theory of the claim, including contract, tort, negligence, statute, strict liability, or otherwise.

  19. Indemnity

    You agree to indemnify and hold harmless us, our officers, employees, contractors, suppliers, licensors, and affiliates from any claims, losses, damages, liabilities, costs, and expenses arising from:

    1. your use or misuse of Tray Stack;
    2. your breach of these Terms;
    3. your unauthorised installation or use of Tray Stack;
    4. your violation of law or third-party rights;
    5. your use of process termination or system action features;
    6. information you provide to us; or
    7. your use of Tray Stack in a business, workplace, client, or regulated environment.
  20. Consumer Rights

    Nothing in these Terms excludes, restricts, or modifies any consumer rights, guarantees, warranties, or remedies that cannot be excluded under applicable law.

    Where we are permitted to limit our liability for breach of a consumer guarantee or statutory right, our liability is limited, at our choice, to:

    1. supplying the relevant service again;
    2. repairing or replacing the relevant software where applicable;
    3. paying the cost of having the service supplied again; or
    4. another remedy required by applicable law.
  21. Changes to These Terms

    We may update these Terms from time to time.

    If we make material changes, we may notify you by:

    1. posting the updated Terms on our website;
    2. showing an in-app notice;
    3. sending an email; or
    4. using another reasonable method.

    The updated Terms will apply from the effective date stated in the updated version.

    Your continued use of Tray Stack after the updated Terms take effect means you accept the updated Terms.

    If you do not agree, you must stop using Tray Stack.

  22. Governing Law

    These Terms are governed by the laws of Queensland, Australia, without regard to conflict-of-law principles.

    Subject to any mandatory rights you may have under applicable law, the courts located in Queensland, Australia have jurisdiction over disputes arising from or relating to these Terms or Tray Stack.

  23. General Terms

    If any part of these Terms is found to be invalid or unenforceable, the remaining parts continue to apply.

    Our failure to enforce a provision is not a waiver of our right to enforce it later.

    You may not assign or transfer your rights or obligations under these Terms without our written consent.

    We may assign these Terms in connection with a merger, acquisition, restructure, sale of assets, or transfer of the Tray Stack business.

    These Terms, together with any Privacy Policy, billing terms, refund policy, and other terms expressly incorporated by reference, form the entire agreement between you and us regarding Tray Stack.
