End-User Licence Agreement
This End-User Licence Agreement (EULA) is a legal agreement between you (you, your, or User) and New Horizon Code PTY LTD (we, us, our, or Company) for your installation and use of the Tray Stack desktop application, including any installers, updates, patches, documentation, bundled components, and related software files (Software).

By downloading, installing, activating, copying, accessing, or using the Software, you agree to this EULA. If you do not agree, you must not install or use the Software.
This EULA governs your licence to use the Software. Separate terms, including our Terms of Service, Privacy Policy, billing terms, refund policy, and support terms, may also apply.
Licence Grant
Subject to your compliance with this EULA and any applicable payment obligations, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software for your personal or internal business purposes.
Your licence is limited to:
- the number of devices, users, seats, or activations allowed by your plan;
- the licence term applicable to your purchase or subscription;
- the features included in your plan; and
- any usage, activation, or access limits we apply.
This EULA does not transfer ownership of the Software to you. The Software is licensed, not sold.
Permitted Use
You may use the Software only:
- on devices you own, control, or are authorised to use;
- for lawful personal, development, or internal business purposes;
- in accordance with this EULA, our Terms of Service, and applicable laws; and
- within the limits of your licence, subscription, or plan.
If you install the Software on a work, school, client, shared, or managed device, you are responsible for ensuring you have permission to do so.
What the Software Does
Tray Stack is a desktop utility that scans certain local technical information on your computer to detect and display locally running development servers, applications, ports, processes, folders, and related metadata.
Depending on your operating system, permissions, and enabled features, the Software may locally inspect or display:
- listening network ports;
- localhost or local network URLs;
- running processes;
- process names and process IDs;
- process working directories;
- executable paths;
- project folder names;
- Git repository metadata, where available;
- CPU and memory usage;
- runtime or start-time information; and
- similar technical information required for the Software to function.
The Software may also allow you to open local URLs, copy detected URLs, open folders, view process information, and terminate or stop selected processes.
Local Scanning Permission
By installing and using the Software, you authorise it to perform local scans and inspections of your device as necessary to provide its features.
You acknowledge that:
- local port, process, and folder inspection is required for the Software to operate;
- operating system permissions may be required;
- denying permissions may limit or disable features;
- the Software may display sensitive technical information, including project names, folder paths, repository names, local URLs, and process details; and
- you are responsible for ensuring your use is authorised and compliant with any applicable workplace, client, school, or organisational policies.
You must not use the Software to scan, inspect, monitor, or manage a device without permission.
Licence Activation and Validation
The Software may require activation, licence validation, or subscription verification.
To activate or validate your licence, the Software may communicate with our licensing systems and transmit information such as:
- your licence key;
- your account identifier;
- subscription or plan status;
- device identifier;
- app version;
- operating system information; and
- other information reasonably required to confirm licence validity.
The Software may store a local licence token or activation record on your device.
We may use technical measures to verify that:
- your licence is valid;
- your subscription is active;
- your device is authorised;
- your licence has not been shared, tampered with, or abused; and
- your use complies with your plan limits.
Device Binding
Your licence may be bound to one or more specific devices.
For device-bound licences, the Software may generate a device identifier using technical information from your operating system or device. Where possible, this identifier may be hashed or transformed before being sent to us.
You acknowledge that:
- changing devices may require reactivation;
- reinstalling your operating system may require reactivation;
- replacing hardware may require reactivation;
- using virtual machines or modified systems may affect activation; and
- we may limit repeated, excessive, suspicious, or abusive activations.
You may not intentionally alter, spoof, bypass, or manipulate device identifiers or activation systems.
Licence Term
Your licence continues for the term associated with your purchase, subscription, trial, or plan.
If your licence is subscription-based, your right to use the Software depends on your subscription remaining active and paid.
If your licence is a trial, beta, preview, or early-access licence, we may limit, suspend, or end access at any time.
If your licence expires, is cancelled, refunded, charged back, terminated, or otherwise becomes invalid, you must stop using the Software.
Licence Restrictions
You must not, and must not allow anyone else to:
- copy, reproduce, distribute, sell, rent, lease, lend, sublicense, or transfer the Software except as expressly allowed by this EULA;
- share licence keys, activation tokens, accounts, or subscription access;
- use the Software beyond your permitted device, seat, user, or activation limits;
- modify, adapt, translate, or create derivative works of the Software;
- reverse engineer, decompile, disassemble, inspect, or attempt to derive the Software's source code, structure, algorithms, activation logic, detection methods, or internal systems, except where applicable law expressly permits;
- bypass, disable, remove, tamper with, or circumvent licence validation, device binding, access controls, security features, or technical restrictions;
- use patched, cracked, modified, unauthorised, or unofficial copies of the Software;
- use the Software to create, train, support, or improve a competing product by copying its interface, workflows, detection methods, or functionality;
- remove, alter, or obscure copyright, trade mark, proprietary, or licence notices;
- use the Software for unlawful, harmful, unauthorised, or abusive purposes;
- use the Software in high-risk environments where failure may cause death, personal injury, property damage, or environmental harm; or
- use the Software in breach of this EULA.
No Resale or Redistribution
Unless we give you written permission, you must not:
- resell the Software;
- redistribute the installer;
- bundle the Software with another product;
- provide the Software as a hosted, managed, or white-labelled service;
- make the Software available on a marketplace, file-sharing service, or public download mirror; or
- transfer your licence to another person or entity.
Ownership
We and our licensors retain all rights, title, and interest in and to the Software, including:
- source code and object code;
- user interface designs;
- branding, names, and logos;
- documentation;
- workflows and feature designs;
- scanning and detection logic;
- licence validation systems;
- updates, patches, and improvements; and
- all intellectual property rights.
You receive only the limited right to use the Software under this EULA.
No rights are granted except those expressly stated.
Updates
We may provide updates, patches, fixes, improvements, or new versions of the Software.
Updates may:
- add, remove, or change features;
- modify scanning behaviour;
- change licence validation methods;
- improve security or stability;
- fix bugs;
- change supported systems; or
- be required for continued use.
We are not required to provide updates unless expressly stated in your plan or required by law.
You acknowledge that older versions may stop working, become unsupported, or no longer receive security fixes.
Automatic Updates
The Software may check for updates automatically.
Depending on your settings and operating system, updates may be downloaded or installed automatically.
You are responsible for ensuring updates are suitable for your environment before continuing to use the Software, especially in managed, workplace, client, or production environments.
Third-Party Components
The Software may include or depend on third-party components, including open-source software, operating system APIs, desktop runtimes, frameworks, libraries, and update services.
Third-party components remain the property of their respective owners and may be subject to separate licence terms.
To the extent required, open-source notices or third-party licence terms may be provided in the Software, documentation, website, or upon request.
This EULA does not modify your rights under any applicable open-source licence.
Data and Privacy
The Software is designed to process local scan information on your device for the purpose of detecting and displaying local development servers, processes, ports, and related technical information.
Unless we expressly state otherwise, the Software does not intentionally transmit your full local process list, project folder paths, Git metadata, or scan results to us as part of its ordinary scanning functionality.
However, the Software or related services may transmit information required for:
- licence activation;
- subscription validation;
- update checks;
- crash reporting or diagnostics, where enabled or required;
- support requests;
- security and fraud prevention; and
- compliance with law.
Our handling of personal information is described in our Privacy Policy.
Process Termination
The Software may allow you to terminate, stop, kill, or interact with selected local processes.
You are solely responsible for any action you take through the Software.
Terminating a process may cause:
- loss of unsaved work;
- interrupted servers;
- failed scripts, builds, jobs, or background tasks;
- disruption to terminals, containers, emulators, databases, or development tools;
- corrupted temporary state;
- loss of logs or debugging information; or
- other unexpected consequences.
The Software may display information to assist you, but we do not guarantee that a process is correctly identified, safe to stop, or unrelated to other applications.
You should verify important process information before terminating or interacting with any process.
Security and Misuse
You must not use the Software to:
- access, scan, inspect, monitor, or interfere with a device without permission;
- conduct unauthorised surveillance;
- assist with hacking, malware, intrusion, exploitation, persistence, or credential theft;
- bypass access controls or security restrictions;
- collect information from another person's device without authority;
- damage, disrupt, or impair systems; or
- breach any law, policy, contract, or third-party right.
We may suspend, restrict, or terminate your licence if we reasonably believe the Software is being misused.
Backup Responsibility
You are responsible for maintaining backups of your work, files, code, repositories, configurations, databases, and systems.
The Software is not a backup tool.
We are not responsible for loss of data, project files, source code, logs, configuration, or work caused by your use of the Software, including your use of process termination features.
Beta, Trial, and Preview Versions
If the Software is provided as a beta, trial, preview, early-access, or experimental version, you acknowledge that it may be incomplete, unstable, inaccurate, unsupported, or subject to change.
We may modify, restrict, suspend, or discontinue beta, trial, or preview access at any time.
Beta, trial, and preview versions are provided for testing and evaluation only unless we state otherwise.
Support
Support may be provided according to your plan or our published support terms.
We are not required to provide support for:
- unsupported operating systems;
- modified versions of the Software;
- unauthorised copies;
- cracked or tampered versions;
- third-party tools or environments;
- unsupported configurations;
- outdated versions; or
- use that breaches this EULA.
Suspension and Termination
This EULA remains in effect until terminated.
Your rights under this EULA automatically terminate if:
- you breach this EULA;
- your licence expires;
- your subscription is cancelled or unpaid;
- your payment is refunded, reversed, or charged back;
- you use the Software unlawfully or abusively;
- you tamper with licence validation or security systems; or
- we terminate your access in accordance with our Terms of Service.
Upon termination, you must:
- stop using the Software;
- uninstall the Software;
- delete unauthorised copies; and
- stop using any licence key, activation token, or account access associated with the Software.
Sections relating to ownership, restrictions, privacy, disclaimers, limitation of liability, indemnity, and governing law survive termination.
Disclaimer of Warranties
To the maximum extent permitted by law, the Software is provided on an “as is” and “as available” basis.
We do not warrant that:
- the Software will be uninterrupted, secure, or error-free;
- the Software will detect every relevant process, port, server, or project;
- detection results will be accurate, complete, or current;
- process termination will be safe or consequence-free;
- the Software will meet your requirements;
- the Software will be compatible with every operating system, runtime, framework, terminal, shell, development tool, or environment;
- defects will be corrected;
- updates will always be provided; or
- the Software will be free from vulnerabilities, malware, bugs, or defects.
To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and course-of-dealing warranties.
Nothing in this EULA excludes rights that cannot be excluded under applicable law.
Limitation of Liability
To the maximum extent permitted by law, we are not liable for any:
- indirect, incidental, special, consequential, exemplary, or punitive damages;
- loss of profits, revenue, goodwill, business, opportunity, or anticipated savings;
- loss, corruption, interruption, or recovery of data;
- loss of source code, project files, logs, debugging information, or development state;
- downtime or business interruption;
- consequences of terminating, killing, opening, or interacting with a process;
- inaccurate or incomplete detection results;
- compatibility issues;
- security incidents caused by your device, configuration, third-party tools, or misuse;
- third-party component failures;
- failure to maintain backups; or
- unauthorised use of your licence key or account.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Software or this EULA is limited to the greater of:
- the amount you paid us for the Software in the 12 months before the claim; or
- AUD $100.
This limitation applies regardless of whether the claim is based in contract, tort, negligence, statute, strict liability, equity, or any other legal theory.
Indemnity
You agree to indemnify and hold harmless us, our directors, officers, employees, contractors, suppliers, licensors, and affiliates from any claims, losses, damages, liabilities, costs, and expenses arising out of or related to:
- your use or misuse of the Software;
- your breach of this EULA;
- your unauthorised installation or use of the Software;
- your violation of law or third-party rights;
- your use of process termination or system action features;
- your misuse of licence keys, accounts, or activation systems;
- your use of the Software in a workplace, client, business, or regulated environment; or
- information, logs, screenshots, or files you provide to us.
Export Control
You must not use, export, re-export, download, or transfer the Software in breach of applicable export control, sanctions, or trade laws.
You confirm that you are not prohibited from receiving or using the Software under applicable sanctions or export control laws.
Consumer Rights
Nothing in this EULA excludes, restricts, or modifies any consumer rights, guarantees, warranties, or remedies that cannot lawfully be excluded.
Where we are permitted to limit our liability for breach of a consumer guarantee or statutory right, our liability is limited, at our choice, to:
- repairing or replacing the Software;
- supplying the Software again;
- paying the cost of repairing or replacing the Software;
- paying the cost of supplying the Software again; or
- another remedy required by applicable law.
Governing Law
This EULA is governed by the laws of Queensland, Australia, without regard to conflict-of-law principles.
Subject to any mandatory rights you may have under applicable law, the courts located in Queensland, Australia have jurisdiction over disputes arising out of or relating to this EULA or the Software.
Changes to This EULA
We may update this EULA from time to time.
If we make material changes, we may notify you by posting an updated version on our website, showing an in-app notice, sending an email, or using another reasonable method.
Your continued use of the Software after the updated EULA takes effect means you accept the updated EULA.
If you do not agree to the updated EULA, you must stop using and uninstall the Software.
Assignment
You may not assign, transfer, or delegate this EULA or your licence without our written consent.
We may assign or transfer this EULA in connection with a merger, acquisition, restructure, sale of assets, change of control, or transfer of the Tray Stack business.
Severability
If any provision of this EULA is found to be invalid, unlawful, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable.
If modification is not possible, the provision will be removed, and the remaining provisions will continue in effect.
No Waiver
Our failure or delay in enforcing this EULA is not a waiver of our rights.
A waiver is only effective if made in writing.
Entire Agreement
This EULA, together with our Terms of Service, Privacy Policy, billing terms, refund policy, support terms, and any terms incorporated by reference, forms the entire agreement between you and us regarding your licence to use the Software.
If there is a conflict between this EULA and the Terms of Service, this EULA controls only in relation to your licence to install and use the Software. The Terms of Service control in relation to accounts, billing, support, online services, websites, and general service use.
